Privacy Policy (February 17, 2015)

1.       INTRODUCTION

This Privacy Policy describes the personal information about individuals that Capstone Mining Corp. and its affiliates (“Capstone”, “us” or “we”) collect relating to Capstone’s business, including through Capstone’s website, www.capstonemining.com (the “Website”), how we manage that information and the circumstances under which we may disclose that information.  Employees, contractors and prospective employees and contractors of Capstone can review how Capstone collects, uses and discloses their personal information in Capstone’s Employee and Contractor Privacy Policy.

This Privacy Policy is subject to change. You should periodically check the Website for updates to this Privacy Policy.  Your continued use of the Website or by submitting your personal information to Capstone following any changes constitutes your acceptance of these changes.

2.       WHAT IS PERSONAL INFORMATION?

Personal information means information about an identifiable individual, as more particularly described under applicable Canadian privacy legislation.  Personal information does not include information that allows you to be contacted at a place of business (such as your business telephone number and business e-mail address).

Some of the personal information that Capstone holds on its web server is personal information that you volunteer to provide through forms and some is collected automatically. Other personal information you provide is provided through direct communication with Capstone’s agents, employees, and other representatives.

A.      Information Automatically Collected and Stored. During your visit to the Website, Capstone may automatically collect and temporarily store the following information about your computer and your visit:

  • The domain and host from which you access the Internet;
  • The Internet address of the website from which you linked directly to the Website, if applicable;
  • The date and time you arrive at the Website and how long you spend on the Website and which pages you visit;
  • Your Internet protocol (IP) address; and
  • Your computer's operating system and browser software.

Capstone may use this information for website and system administration purposes and to improve the Website. Capstone may disclose the information to others for those administrative purposes or permanently archive it for future use.

Capstone may use "cookie" technology to obtain information from its on-line visitors. Cookies are information files that your Web browser places on your computer when you visit a website. Most browsers accept cookies automatically, but can be configured not to accept them or to indicate when a cookie is being sent. Cookies allow Capstone to customize your user interface to speed up the navigation process and to make the website experience more efficient. If your browser is configured to reject cookies, you may not be able to use some of the features of the Website.

B.       Personal Information You Specifically Provide. During your use of the Website or through direct communication with Capstone’s agents, employees, and other representatives, you may be asked to voluntarily provide certain personal information for purposes such as facilitating communications with you, applying for access to certain special features or areas of the Website, to facilitate transactions with you or providing you with information about Capstone (by e-mail or other forms of communication) including press releases, shareholder or other information. It is always your choice whether or not to provide personal information. If you choose not to provide requested personal information, you may not be able to use certain features of the Website or otherwise may be limited in the business you can do with Capstone.

3.       Links

The Website may contain links to other websites.  The privacy and data collection practices on any linked website are entirely separate from Capstone and are not covered by this Privacy Policy. Other websites may also link to the Website. Capstone has no responsibility for the content, policies or actions of websites that link to the Website or that Capstone provides a link to through the Website.

4.       Consent

We collect, use and disclose your personal information with your consent or as permitted or required by law.  If you provide personal information about another person to us, you represent that you have the prior consent of that individual to enable us to collect, use or disclose their information as described in this Privacy Policy. If you choose to provide your personal information to Capstone, you signify your consent to the collection, use and disclosure of your personal information in accordance with this Privacy Policy.  Consent may be obtained verbally, electronically or in writing.  You may withdraw your consent to the use and disclosure of your personal information or opt-out of certain uses and disclosures.  To do so, please contact our Privacy Officer.

5.       Personal Information We Collect

Personal information we collect may include:

  • information, inquiries or comments you provide to us when you contact us, including name, home address, personal email address, home telephone number and other contact information that you provide in order to receive updates or our newsletter from us; and
  • such other information we may collect with your consent or as permitted or required by law.

6.       Use of Personal Information

We generally use personal information we collect for the following purposes:

  • replying to your requests, inquiries and comments;
  • meeting legal requirements; and
  • for other purposes that are disclosed at the time of collection, with your consent or as permitted or required by law.

Capstone may use your personal information to contact and correspond with you, to respond to your questions, to process enquiries and instructions and to facilitate and enhance your use of the Website.

Capstone may send to you, from time to time, e-mail or other communications containing information about Capstone and other matters Capstone believes will interest you that you have either requested to receive or that Capstone is permitted by law to send you.  You may withdraw your consent by unsubscribing from any of our communications by using the unsubscribe mechanism provided at the bottom of each e-mail.

7.       Disclosure of Your Personal Information

We do not disclose the personal information you provide to us without your consent but we may disclose personal information in the following circumstances:

  • Service Providers. Capstone may transfer personal information to service providers (including affiliates of Capstone acting in this capacity) that perform services on our behalf, for example internal audit, management, billing, website hosting or similar services, or otherwise to collect, use, disclose, store or process personal information on our behalf for the purposes described in this Privacy Policy.  Some of these service providers or affiliates may be located outside of Canada, including in the United States and your personal information may be collected, used, disclosed, stored and processed in the United States or elsewhere outside of Canada for the purposes described in this Privacy Policy and be subject to legal requirements in Canada, the United States and other foreign countries applicable to our affiliates, agents and service providers, for example lawful requirements to disclose personal information to government authorities in those countries.  Your provision of personal information to Capstone indicates your consent to your personal information being transferred outside of Canada.
  • Business Transactions. Personal information may be used by Capstone and disclosed to parties connected with the proposed or actual financing, securitization, insuring, sale, assignment or other disposal of all or part of Capstone or our business or assets, for the purposes of evaluating and/or performing the proposed transaction.  Assignees or successors of Capstone or our business or assets may use and disclose your personal information for similar purposes as those described in this Privacy Policy.
  • Legal and Regulatory Requirements.  Capstone may disclose your personal information as necessary to meet legal, regulatory, industry self-regulatory, insurance, audit, and security requirements, and as otherwise with your consent or as permitted or required by law (including as required by applicable Canadian and foreign laws applicable Capstone or its agents and service providers, and including lawful requirements to disclose personal information to government authorities in those countries).

8.       Security

We take reasonable steps using physical, electronic or procedural security measures appropriate to the sensitivity of the information in our custody or control, which may include safeguards to protect personal information from loss, theft, misuse, and unauthorized access, use, copying, disclosure, alteration, or destruction.  You should keep in mind that no Internet transmission is ever 100% secure or error-free.  In particular, e-mail sent to or from this site may not be secure, and you should therefore take special care in deciding what information you send to us via e-mail.   Capstone cannot guarantee that your personal information will not be used or disclosed in ways not otherwise described in this Privacy Policy.

9.       Retention

Capstone will only retain your personal information for as long as required to fulfill the purposes for which it was collected or as may be required by law.  When no longer required, your personal information will be destroyed, anonymized or disposed of using secured methods.

10.   Access and Correction

To the extent provided by applicable law, you may request access to personal information in our custody or control, and the correction of such information, by contacting our Privacy Officer.  We may take reasonable steps to verify a person’s identity before granting access or making corrections.
